In
September 1992, former Master Mariner and Tanker Department Manager Gheorghe
Bosinceanu, together with a small and dedicated team of colleagues from the
leading state-owned Romanian shipping company set up their first venture in the
historic port of Constanta, in the wake of the liberalization of the Romanian
economy and business enterprise. |

| The
first corporate vehicle Tanker Ship Management S.R.L. was thus founded and set
out to implement the know-how and expertise that the team had collectively
accumulated over the years both at sea and ashore. |
|
| In
the ten years that have elapsed since, the Histria Group of Companies was
established and now encompasses a network of corporate vehicles engaged in
shipmanagement, chartering, operation, crewing, repairs and upgrading,
technical maintenance and safety at sea of a growing fleet of eight tankers,
bulkcarrier and general cargo vessels ranging from 3 000 to 164 000
dwt and totaling an aggregate of over 650,000 tdw. Other peripheral activities
such as insurance, P&I and claims handling, agency services, the supply of
bunkers, lubricants and provisions to the fleet, the computerized freight
management and accounting services are covered in-house by skilled and trained
personnel. |

| The
flagship corporation of the group, Histria Shipmanagement S.R.L., is a full
member of BIMCO, INTERTANKO and INTERCARGO and the first Romanian shipping
company awarded with International Safety Management Certificate IMO A 741(18)
by Germanischer Lloyd in October 1997. Furthermore the company is on its way
for obtaining the quality assurance certification ISO 9002. |

| In
the short period of time since the setting-up of our organization, we have
developed direct business relations with prime charterers, major oil companies,
grain houses, ore and coal traders and have established a satisfactory
cooperation with well-established brokerage houses in leading maritime centers. |
|
| Recognizing
the importance of our human resources, members of our growing team at all
levels of responsibility are attending specialized intensive courses at
transport academies and shipping seminars in London, Oxford, Cambridge,
Copenhagen, and Oslo in order to enhance their know-how and expertise.
Furthermore, our Masters, Chief Engineers, Naval Architects and departmental
managers are participating in international conferences and shipping
exhibitions in order to keep up-to-date with the latest developments in their
respective field of specialization within the Group. |

Closely
monitoring marketing reports our team is able to prepare our own analyses and
projects for the future market trends in relation to the three types of vessels
managed by us, thus helping management to set the course of group strategy in
the short, medium and long term.

| These
we perform with the assistance of an extensive computer local area network
system supported by specialized software programs that also controls the
day-to-day management tasks and gives impetus to the effectiveness of the whole
structure of the organization from financial administration to technical
maintenance, to voyage estimates and post fixtures. |
